Terms of Service

1. Introduction

Native UK Services Ltd ("Native")provides a platform enabling individuals and organizations to supportnature-based solutions by purchasing environmental rights associated withdesignated areas of nature, known as Native Squares. Each Square represents a3m² section of land or marine habitat, where Native facilitates protectioncommitments with indigenous communities or local project owners for at least 40years.

By accessing and using Native’s platform,users agree to comply with the Terms of Service as currently outlined. Nativereserves the right to modify or update these terms periodically to reflectchanges in our services, legal requirements, or business practices. Users willbe notified of any significant updates, and continued use of the platform aftersuch changes constitutes acceptance of the revised Terms of Service. It is theresponsibility of users to review the Terms of Service periodically to stay informedof any updates.

2. Scope of Service

Native develops and manages nature-based projects globally, focusing on ecosystem conservation and regeneration, with revenue directed largely to indigenous communities and local project owners.Buyers of Native Squares gain access to real-time data regarding the carbon, biodiversity, and community impact of the designated Square through Native’s proprietary tracking system.

3. User Agreement

By purchasing a Native Square, you agree:

• To support Native's mission of long-term ecosystem sustainability, including carbon sequestration, biodiversity preservation, and community empowerment.
• That ownership of the land itself remains with the indigenous communities or project owners; your purchase is an agreement to facilitate the protection and monitor environmental benefits rather than to acquire land ownership.

4. Duration of Protection

Native facilitates a commitment to protect each purchased Square for a minimum of 40 years through agreements with local communities or project owners. This facilitation includes ensuring that community-led management practices are implemented and monitored, while Native manages ongoing stewardship commitments to prevent ecosystem degradation.

5. Impact Tracking and Reporting

Native employs an ABC (Additionality, Biodiversity, Community) methodology to quantify the environmental and social benefits of each Square. Buyers have access to updated data on the environmental status of their Square(s), viewable on Native’s interactive map and impact dashboard. This transparency allows users to confidently demonstrate their environmental contributions and track impact in real time.

6. Revenue Distribution

Native ensures that 80%-90% of revenue from the primary sale of each Square is directed to and/or applied for the benefit of indigenous communities or other project owners responsible for the land. Native charges a 10%-20% fee on primary transactions and an 8% fee on secondary market trades, with 5% of this secondary fee allocated to the project owners to ensure ongoing benefit from trading activity.

7. Refund Policy

Due to the unique structure of revenue distribution and the primary allocation to indigenous communities, Native does not offer refunds for purchased Squares.

8. Secondary Market and Square Retirement

At a later date, Native may offer the ability to trade Squares on a secondary market. Buyers may hold, trade, or retire their Squares, with retirement serving as the formal claim of environmental impact. Native’s trading system is designed to ensure that only retired Squares reflect in environmental impact scores, preventing duplicate claims of environmental benefits.

9. Fees and Charges

Native reserves the right to levy fees on primary sales, secondary market transactions, and other services as necessary. Any fees will be transparently displayed before purchase or trade execution.

10. Data Privacy

Native is committed to protecting user data and adheres to relevant data privacy laws. Personal information collected during Square purchase or platform registration will only be used in accordance with our Privacy Policy.

11. Modifications to the Service

Native reserves the right to modify or discontinue the platform or any features at any time without prior notice. Users will be notified of any substantial changes that may impact their rights.

12. Liability Disclaimer

Native takes reasonable steps to ensure that all information provided regarding each Square is accurate and up-to-date.However, Native makes no guarantees regarding specific environmental outcomes and shall not be held liable for any unforeseen ecological changes, natural events, or other external factors beyond Native's control. To the fullest extent permitted by law, Native disclaims any and all liability related to the maintenance, conservation, or performance of individual Squares or the project outcomes.

13. Unauthorized Access and Use

Users agree to use Native’s platform only as authorized and for its intended purposes. Unauthorized access, fraudulent activity, or attempts to obtain any Squares, benefits, or access through wrongful or unlawful means are strictly prohibited. Native reserves the right to investigate any suspicious or improper use and to take legal action or report such conduct to law enforcement authorities if appropriate.

14. Fraud Prevention and Monitoring

Native actively monitors the platform for any fraudulent activities or improper access. Any user found engaging in fraudulent actions, such as attempting to wrongfully obtain Squares, misrepresenting their identity or intent, or using any false or misleading information, will be subject to suspension or permanent banning from the platform. Native also reserves the right to pursue legal remedies and may take additional measures, including but not limited to, voiding any fraudulently obtained benefits.

15. Prohibited Conduct

Users are prohibited from using the platform in any manner that:

• Violates any local, national, or international law or regulation.
• Attempts to interfere with or compromise the security of the platform.
• Involves impersonation or the submission of false or misleading information.
• Engages in unauthorized resale, trading, or distribution of Native Squares outside of authorized channels. Native reserves the right to suspend, restrict, or terminate accounts that violate these terms, and to pursue any applicable legal remedies.

16. Jurisdiction

These Terms of Service are governed by the laws of the United Kingdom. By using Native’s services, you agree to submit to the exclusive jurisdiction of the courts in the United Kingdom. ‍
